1. About These Terms

These Terms of Service ("Terms") govern your use of sellatagora.com ("Agora," the "Site," or the "Platform"), which is operated by HYPERMIX LLC, an Illinois limited liability company ("HYPERMIX," "we," "us," or "our"). By visiting the Site, creating an account, buying, or selling, you agree to these Terms and to the policies they refer to:

If you don't agree, please don't use Agora.

3. How Agora Works

Agora is a marketplace for collectibles. Items on Agora are listed and owned by independent sellers ("Sellers"). When you buy an item ("Buyer"), HYPERMIX LLC sells the item to you as the merchant of record under a consignment-style agreement with the Seller (our "Seller Agreement"). In practice, that means:

You pay HYPERMIX LLC. Your payment is processed by our payment processor (currently Stripe), and the charge appears on your statement as a charge from Agora / HYPERMIX LLC.
HYPERMIX LLC handles your order support, refunds, and payment disputes. Contact us, not the Seller, about any problem with an order.
The Seller ships the item to you using a prepaid shipping label that Agora buys and provides, so every order has tracking.
The Seller is responsible to Agora for the item being authentic, accurately described, legal to sell, and properly packed. Agora pays the Seller after the item is delivered, under our Seller Payout Policy.

Agora does not make, inspect, store, or pack items, and Sellers are not our employees, agents, or partners. Sellers keep ownership of their items until sale, and ownership passes to the Buyer when the item is delivered.

4. Eligibility

You must be at least 18 years old and able to enter a binding contract. Agora currently serves U.S. addresses only. If you use Agora for a business, you confirm you have authority to bind that business.

5. Accounts

You're responsible for keeping your login secure and for all activity on your account. Tell us right away at support@sellatagora.com if you think your account has been used without permission. Give us accurate information and keep it up to date.

6. Buying on Agora

6.1 Prices and currency. All prices on Agora are in U.S. dollars (USD). The total shown at checkout includes the item price, the shipping charge, and any sales tax.

6.2 Sales tax. HYPERMIX LLC collects and remits sales tax where required by law. The amount is shown at checkout.

6.3 Order confirmation. Your order is accepted when you receive our order confirmation email. We may cancel an order and give you a full refund if an item turns out to be unavailable, the listing contains an obvious error, we suspect fraud, or the item violates our policies.

6.4 Shipping. Orders ship as described in our Shipping Policy. Every order is shipped with tracking.

6.5 Refunds. Refunds, returns, and cancellations are handled under our Refund & Return Policy. All sales are final except as that policy describes.

6.6 Risk of loss. Risk of loss passes to you when the carrier's tracking shows the package delivered to your shipping address.

6.7 Payment disputes. Please contact us before filing a dispute with your bank or card issuer. We can usually fix problems faster. Filing a false or abusive dispute may lead to account suspension.

7. Selling on Agora

To sell on Agora you must accept our Seller Agreement, which, together with the Seller Payout Policy, Fees, and Prohibited Items & Authenticity Policy, sets out the rules for Sellers. These include listing rules, shipping within 3 business days using Agora's prepaid label, fees, payouts, refunds, chargebacks, and indemnification. If the Seller Agreement and these Terms conflict, the Seller Agreement controls for Sellers.

8. Fees

Buyers pay no fees to use Agora beyond the price, shipping, and tax shown at checkout. Seller fees are described on our Fees page.

9. Prohibited Conduct

You agree not to:

list, sell, or buy counterfeit, stolen, illegal, infringing, or prohibited items (see our Prohibited Items & Authenticity Policy);
give false or misleading information, or misrepresent an item's condition, grade, or authenticity;
arrange or complete a sale outside Agora for an item you found or listed on Agora, or otherwise avoid Agora's fees;
contact Buyers or Sellers outside Agora about an Agora order, or use their personal information for anything other than completing that order;
commit fraud, file false claims or chargebacks, launder money, or use stolen payment methods;
harass, threaten, or abuse anyone, or post offensive or inappropriate content (HYPERMIX decides what is inappropriate);
interfere with the Site's security or operation, scrape it, or use bots without our written permission; or
break any law.

10. Content and Intellectual Property

The Agora name, logo, Site design, and software belong to HYPERMIX LLC or its licensors. Sellers keep ownership of their listing photos and descriptions but grant HYPERMIX LLC a worldwide, royalty-free, non-exclusive license to use, display, reproduce, and adapt them to operate and promote Agora. This license continues for as long as the content is on Agora and for a reasonable time afterward in materials already made.

Copyright and trademark complaints. If you believe a listing infringes your copyright or trademark, email support@sellatagora.com with:

your contact information;
the work or mark being infringed;
the listing URL;
a statement that you have a good-faith belief the use is not authorized; and
a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner.

We remove infringing listings and close the accounts of repeat infringers.

11. Privacy

Our Privacy Policy explains how we collect and use personal information. It is part of these Terms.

12. Electronic Communications

You agree that we may send you notices, receipts, and other communications by email or through the Site, and that these satisfy any requirement that they be in writing. You can opt out of marketing emails at any time, but not order or account emails.

13. Disclaimers

EXCEPT AS EXPRESSLY STATED IN OUR REFUND & RETURN POLICY, THE SITE AND ALL ITEMS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, HYPERMIX LLC DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ITEM DESCRIPTIONS, PHOTOS, CONDITION NOTES, AND GRADES ARE PROVIDED BY SELLERS. THE VALUE OF COLLECTIBLES CAN GO UP OR DOWN, AND WE MAKE NO PROMISE ABOUT ANY ITEM'S CURRENT OR FUTURE VALUE. WE DO NOT GUARANTEE THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HYPERMIX LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF AGORA OR ANY ITEM OR TRANSACTION, EVEN IF WE WERE TOLD SUCH DAMAGES WERE POSSIBLE.

OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO:

(A) FOR BUYERS: THE AMOUNT YOU PAID FOR THE ORDER THE CLAIM IS ABOUT;
(B) FOR SELLERS: THE COMMISSIONS WE EARNED FROM YOUR SALES IN THE 12 MONTHS BEFORE THE CLAIM; OR
(C) IN ALL OTHER CASES: ONE HUNDRED U.S. DOLLARS ($100).

THESE LIMITS DO NOT REDUCE A SELLER'S OBLIGATION TO PAY AMOUNTS OWED OR TO INDEMNIFY US, AND THEY DO NOT APPLY WHERE THE LAW DOES NOT ALLOW THEM.

15. Indemnification

You agree to defend, indemnify, and hold harmless HYPERMIX LLC and its members, managers, employees, and agents from claims, losses, damages, and expenses (including reasonable attorneys' fees) arising from:

your use of Agora;
your content;
your violation of these Terms or any law; or
your violation of anyone else's rights.

Sellers have additional indemnification obligations in the Seller Agreement.

16. Suspension and Termination

We may suspend or close any account, remove any listing, or cancel any order at any time if we believe these Terms or our policies have been violated, to prevent fraud or harm, or as required by law or our payment processor. You may close your account by emailing support@sellatagora.com. Open orders, refunds, amounts owed, and Sections 10 and 13–19 survive closure.

17. Disputes and Governing Law

Talk to us first. Before filing any claim, contact support@sellatagora.com and give us 30 days to try to resolve it informally.

Small claims. Either side may bring an individual claim in small-claims court if it qualifies.

Courts. Otherwise, any dispute will be decided only in the state or federal courts for Douglas County, Illinois, and you consent to those courts' jurisdiction.

Governing law. These Terms are governed by Illinois law, without regard to conflict-of-law rules.

Time limit. Where the law allows, any claim must be brought within one year after it arises.

18. Changes to These Terms

We may update these Terms. We'll post the new version with a new effective date, and for material changes we'll also email registered users (Sellers get at least 14 days' notice). Continuing to use Agora after the effective date means you accept the updated Terms.

19. General

These Terms and the policies referred to above are the entire agreement between you and HYPERMIX LLC about Agora.
If any part is found unenforceable, the rest stays in effect.
Our not enforcing a right is not a waiver of that right.
You may not transfer your rights under these Terms without our written consent. We may transfer ours, for example in a sale of the business.
Neither party is responsible for delays caused by events beyond its reasonable control.
